The BECoop project consortium, grant agreement No 952930, shall not be liable for the use of this tool by the user, nor shall it be liable for loss of actual or anticipated profits, loss of revenue, loss of production, loss of opportunity or goodwill, cost of capital, cost of financing, or for any special, indirect, incidental or consequential loss, damage or expense suffered by the user arising, directly or indirectly, from the use of this tool.

Terms and Conditions of the e-Market platform

Welcome to the e-Market platform. Thank you for using our online platform. This online platform has been developed in the framework of the BECoop project of the European Union's Horizon2020 programme for research and innovation. The platform is owned and operated by Fundación CIRCE - Centro de Investigación de Recursos y Consumos Energéticos, C.I.F. G-50556091 (hereinafter referred to as the "entity").

By using the e-Market platform, the user fully accepts these terms and conditions and is legally bound by them and should therefore read them carefully. By accessing or using our e-Market platform, you approve that you have read, understood and agree to be bound by these Terms and Conditions.

Definitions:

e-Market platform : online platform developed by the entity to connect actors in the bioenergy sector, through the use of a web environment in which they can post offers and needs related to the bioenergy sector, in all areas of the value chain.

Account : the profile created by the User to freely access and use the e-Market platform.

User : the professional(s) using the e-Market platform to offer or request products or services related to bioenergy.

Offer : intended order or request of the User who intends to sell services or products related to bioenergy and which will be provided to him/her by another User on the e-Market platform.

Need : intention to order or order of the User who intends to order bioenergy-related services or products, and which will be provided to him/her by another User making an offer on the e-Market platform.

Rights and licence of use:

Subject to the User's acceptance of these Terms and Conditions, the platform offers the User a limited, non-exclusive, non-sublicensable, non-sublicensable, revocable and non-transferable licence for:

• (a) commercial use;
• (b) access the Platform on his or her personal computer, solely to use the Platform Services; and
• (c) access and use any content, information and related materials made available through the Platform Services. All rights not expressly granted herein are reserved in the name of the entity.

All rights to the platform are and remain the property of the entity. The present Terms and Conditions or the use of the platform services by the User do not confer on the User any right:

• (a) to use or refer, in any way, to the company names of the entity and/or its members, its logos and products, trademarks or other distinctive elements belonging to the entity and/or its members.

The User is not authorised to:

• (a) reproduce, modify, perform related works, destroy, license, rent, sell, resell, transfer, publicly display or perform, transmit, reproduce, broadcast or otherwise exploit the platform services except to the extent expressly permitted by the platform;
• (b) decompile, reverse engineer or disassemble the platform, except to the extent permitted by applicable law;
• (c) create links to or reproduce the platform, or otherwise exploit the platform, except to the extent permitted by applicable law;
• (c) create links to or reproduce through frames any part of the Platform;
• (d) create or apply any programs or scripts to harvest, index, collect or otherwise extract data from any part of the Platform, or unduly burden or impair the operation or functioning of the Platform;
• (e) attempt to gain unauthorised access to the Platform or otherwise damage any aspect of the Platform or its respective systems or networks.

Conditions of access

In order to access the information contained on the platform and to carry out commercial transactions, in addition to the acceptance of these Terms and Conditions, it is necessary to register and create an Account. In order to register as a user of the platform, you must be at least 18 years of age.

During the process of creating an Account, the User is required to provide certain mandatory information indicated as such in the registration. There are two levels of registration and access. At the initial (basic) level, personal data, e-mail address and information about the entity are requested, among others. This level allows access to a series of basic functionalities of the platform and access to the e-Market space to view offers to buy or sell, but does not allow commercial transactions. In order to be able to publish offers, reply to them and close commercial transactions, a second level of registration is required, where more detailed information on the entity wishing to carry out commercial transactions and a bank account number will be provided.

During the process of creating an Account, the User is required to provide certain mandatory information indicated as such in the registration. For this purpose, the following, among others, are requested: personal data, e-mail address, entity information. This allows access to a series of functionalities of the platform and access to the e-Market space to view the offers and needs posted, as well as to contact the agents responsible for these offers.

Platform users are responsible for the veracity of the documentation provided and undertake to update this certificate annually on the platform.

The platform only authorises one account per User, except where expressly provided otherwise.

The User assures that the information submitted is true, complete and up to date. In the event that the information submitted is false, incomplete or outdated, the entity may prevent the User from accessing the platform.

The User is responsible for all activity on his/her account and agrees to maintain the security and confidentiality of the User's username and password at all times. The User of the platform may not share, assign or allow the use of his/her Account, User name and password to other persons and, in the case of legal entities, to third parties that are not part of his/her company.

The User declares that he/she will immediately notify the platform of any unauthorised use or any other breach of security related to his/her Account. This notification shall be sent to the e-mail address jguerrero@fcirce.es.

The User agrees that all activities carried out through his Account (including, but not limited to, entering any information about the entity or product, clicking to accept any additional terms or rules, etc.) shall be deemed to be authorised by the User.

Operation of the Platform

By registering on the platform, users will be able to access the platform and proceed to post offers or needs related to the bioenergy sector (from biomass-based fuels to consultancy activities, and these offers, or needs may belong to the whole value chain related to this sector).

Once their offers/needs are registered within the platform, they will be visible to the rest of the users, who will be able to access them and contact them, with the aim of being able to carry out a commercial transaction. This transaction will take place outside the platform itself, although the platform may be used as a means of communication or as a starting point for the agreement.

Once these offers or needs have been registered within the platform, the user will be able to access a suggestion portal that will be automatically completed by the platform, so that it will show the records uploaded to the platform that are more closely related to the offer.

The platform also offers an instant messaging service, where it will be possible to contact (or be contacted) by those who wish to do so, thus facilitating contact between the actors involved in the bioenergy sector.

Conditions of publication of products

The User undertakes to comply with the entity's rules on the publication of information and sales practices.

The User is responsible for the truthfulness, accuracy and content of the information of the offer he/she publishes.

The User undertakes not to post any defamatory, libellous, slanderous, violent, obscene, illegal or otherwise offensive content, whether such material is protected by law or not.

The entity reserves the right (but shall have no obligation) to decide whether offers meet the requirements set out in these Terms and Conditions and, at any time and without notice, may remove offers from any User who provides content that violates these Terms and Conditions.

When the User posts an offer to sell a product, he/she is responsible for the accuracy of the quality data related to the product.

Costs of the platform services

None.

Obligations of the User

The user undertakes not to create, copy, reproduce, modify or use the content of the platform in any way.

The user also undertakes not to send to third parties or otherwise disclose the orders contained on the platform, nor to distribute or publicly display the contents of the platform without the prior express permission of the entity.

The User declares that: (a) the activities it carries out through the platform comply with applicable and current regulations, rules and legislation; (b) it conducts business transactions with other Users in good faith; (c) it will not impersonate any other person or entity or misrepresent its relationship with any other entity.

The User agrees to provide truthful information on the Platform.

The User acknowledges that the purchase and sale of products are supplied or provided by the sellers and/or suppliers, who act at their own risk and responsibility, and that neither the platform nor the entity is in any way a party to the contractual relationship established between the buyer and the supplier.

Entity's liability and limitation of liability

The entity warrants that it is in a legitimate and legal position to operate and support the platform.

No relationship exists between the entity (and its members) and the Users beyond the provision of the platform, in accordance with the provisions of these Terms and Conditions.

The User acknowledges that the purchase and sale of products and services relating to the bioenergy sector are supplied or provided by other users, who act on their own account and responsibility, and therefore the entity (and its members) does not form part, under any circumstances, of the contractual relationship established between the User who buys and the User who sells.

The entity (and its members) is not responsible for the materialisation of the corresponding sales contracts, nor for the fulfilment of the contract concluded between them, nor for the fulfilment of the conditions agreed therein, nor for the quality, suitability or appropriateness of the product that is the object of the commercial transaction. Therefore, the entity (and its members) is not responsible for the effectiveness of the payment of the price, being the users of the platform who assume the risk of the commercial transaction.

The entity (and its members) are not responsible, in any case, for: (a) any litigation, breach or damage arising from the contractual relationship established between the Users through the platform; (b) any damage caused to third parties as a result of the supply of the products; (c) any damage, harm or loss resulting from the use of or reliance on the services provided by the entity, including failures or interruptions in the operation of the platform and the inability to access the platform; (d) any damage that may be caused by a malfunction of the platform, whether due to computer malfunctions, computer viruses such as Trojan horses, or anything that causes interference with the system.

The information on the platform regarding products and suppliers is provided by the Users. The entity (and its members) assumes no responsibility for any errors, omissions, inaccuracies or misrepresentations in the information provided by Users. The entity (and its members) is in no way responsible for the information contained on the platform.

Suspension and termination of the account

Any party shall be in breach of these Terms and Conditions if it fails to comply with its obligations or commitments hereunder.

The entity reserves the right to suspend, for a period to be defined by itself, and to terminate, at its discretion and when deemed necessary, to the extent permitted by law, the account of Users who violate, or of whom there is a suspicion of violation or breach, present or future, of any of the obligations arising from these Terms and Conditions and/or the Law, in particular, in the event that the information provided by the User is false.

Final provisions

If any provision of these Terms and Conditions is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or any part thereof shall be deemed not to form part of these Terms and Conditions and the legality, validity and enforceability of the remaining provisions shall not be affected. In such a case, the part of the provision deemed illegal, invalid or unenforceable shall be replaced with a (or part of a) provision that is legal, valid and enforceable and has, as far as possible, a similar effect to the illegal, invalid or unenforceable provision, taking into account the content and purpose of these Terms and Conditions.

These Terms and Conditions contain the entire agreement between the entity and the User.

The entity reserves the right to modify these Terms and Conditions at any time and in any way. When modifications are made to the applicable Terms and Conditions, a notice informing of such modification and a request for acceptance of the new Terms and Conditions will be displayed to the User at the time of accessing the platform. Without such acceptance, the User may not access or use the Platform. The notices of modification of these Terms and Conditions will also be published on the page. Modifications to the Terms and Conditions shall not be retroactive and shall not become effective less than 14 (fourteen) days after their publication. With the exception of modifications to the Terms and Conditions resulting from (i) new functionalities or modifications to the platform, or (ii) legal impositions, which shall enter into force immediately.

Intellectual property: The aforementioned platform, its functionalities and, in general, all the results derived from it, except for what may be established in a specific contract, shall be the exclusive property of the entity.

All incidents that may arise in relation, directly or indirectly, to these Terms and Conditions and the use of the aforementioned platform shall be resolved through dialogue and in good faith. If there is no agreement, it is agreed that any litigation, discrepancy or claim that may arise shall be resolved by the Courts and Tribunals of Zaragoza, and the parties waive any other jurisdiction that may correspond to them.
